Agreement
These Terms of Service govern access to and use of Scholr, a school management and results distribution platform operated by Scholr Inc. By registering a school, accessing an account, uploading data, or using Scholr, you agree to these Terms.
Eligibility and Authority
- You must be at least 18 years old to create or administer a school account.
- If you register a school, you confirm that you have authority to bind that school or institution to these Terms.
- Each school account is for one institution unless Scholr approves otherwise in writing.
Account Registration and Security
- Schools must provide accurate registration, contact, payment, and administrator information.
- You are responsible for safeguarding login credentials and limiting account access to authorised personnel.
- You must notify Scholr promptly if you suspect unauthorised access or misuse of your account.
- Scholr may refuse, suspend, or close accounts that provide false information or create security, fraud, legal, or reputational risk.
Activation Fee
Result Unlocks and 20% Platform Cut
- Schools may charge students, parents, or guardians a result unlock fee to access published results.
- Scholr keeps 20% of net unlock revenue unless a different written agreement or platform setting applies.
- Net unlock revenue means the unlock amount after third-party payment processor charges and legally required deductions.
- The school receives the remaining 80% of net unlock revenue, subject to payout schedules, fraud checks, chargebacks, reversals, bank delays, and minimum payout thresholds.
- Scholr may update platform fees, minimum unlock fees, payout rules, or processor arrangements with reasonable notice to schools.
School Owner Responsibilities
- Schools are responsible for the accuracy, legality, and completeness of student records, scores, classes, subjects, and published results.
- Schools must obtain required consent or provide required notices to parents, guardians, students, and staff before uploading personal data.
- Schools must explain result unlock charges to parents, guardians, and students before publishing results.
- Schools must comply with Nigerian education, consumer protection, tax, payment, and data protection laws that apply to their operations.
- Schools must not bypass Scholr payment flows, manipulate revenue calculations, or collect result unlock payments outside the platform for results distributed through Scholr.
Acceptable Use
- You must not upload false, defamatory, unlawful, harmful, or unauthorised data.
- You must not attempt to access another school's data, interfere with platform security, scrape the service, reverse engineer the platform, or abuse support channels.
- You must not use Scholr for fraud, harassment, discrimination, illegal fees, or any activity that harms students, parents, schools, Scholr, or third parties.
Payments, Chargebacks, and Taxes
- Payment processors such as Flutterwave or Paystack may apply their own terms, fees, delays, fraud checks, and dispute processes.
- Schools are responsible for bank account accuracy, payout details, tax reporting, and any tax obligations on school revenue.
- Scholr may withhold, reverse, or adjust payouts for suspected fraud, duplicate payments, chargebacks, processor reversals, legal requests, or account breaches.
Data Protection
Schools act as data controllers for student records they upload. Scholr acts as a processor for those records except where it independently processes data for account administration, payments, security, legal compliance, and platform operations. Schools must comply with the NDPR, the Nigeria Data Protection Act, and any other applicable data protection obligations.
Intellectual Property
Scholr owns the platform, software, design, workflows, documentation, brand, and related intellectual property. Schools retain ownership of their school and student data. You may not copy, resell, sublicense, or create competing services from Scholr without written permission.
Service Availability
Scholr aims to provide a reliable service but does not guarantee uninterrupted access, 100% uptime, error-free operation, or compatibility with every device, browser, school process, or third-party service. Maintenance, outages, upgrades, internet issues, processor failures, and force majeure events may affect availability.
Liability Limitations
- To the maximum extent permitted by Nigerian law, Scholr is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages.
- Scholr is not responsible for inaccurate data uploaded by schools, school policy disputes, parent-school disputes, payment processor failures, bank delays, or third-party infrastructure failures.
- Scholr's total liability for claims relating to the service will not exceed the amount paid directly to Scholr by the affected school in the three months before the claim arose.
Suspension and Termination
- Scholr may suspend or terminate access for breach of these Terms, payment issues, fraud risk, security risk, legal compliance, or harmful use.
- Schools may request account closure by contacting support. Pending lawful payouts may be processed before closure after reconciliation.
- The activation fee remains non-refundable after suspension, termination, or closure.
Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt to resolve disputes in good faith. If unresolved, disputes may be brought before courts of competent jurisdiction in Nigeria.
Changes and Contact
